This End User Licence Agreement applies to self-hosted TorScript catalogue software supplied by UNIVERSALHOMEANDTECH LTD. The customer receives a perpetual, non-exclusive, non-transferable licence to install and use the purchased software for the licensed project, subject to these terms and the order.
TorScript is a brand of UNIVERSALHOMEANDTECH LTD. The licensor is UNIVERSALHOMEANDTECH LTD. No separate TorScript company exists.
The licence permits the customer to download, install, configure and operate the software on the customer's own infrastructure for the licensed website, business or project. Source code supplied with the product may be edited for the customer's own licensed deployment. The licence does not allow resale, sublicensing, public redistribution, competing product packaging, removal of copyright notices, or use in unlawful systems.
The software, architecture, documentation, update packages, product names, design, original source code, trade marks and copyright remain owned by or licensed to UNIVERSALHOMEANDTECH LTD. The customer owns its own business data and content. Open-source components remain governed by their own licences.
The purchase includes the support period described on the product page or order. Critical security patches for the licensed product line are supplied according to the Company's published security-patch commitment. Support does not include unlimited custom development, hosting management, third-party plugin repair, server administration, data entry, search-engine optimisation, legal compliance work, or business consulting unless agreed in writing.
The customer is responsible for hosting, backups, server security, domain configuration, email deliverability, lawful use, customer data notices, payment provider accounts, tax settings, content, product data, administrator access, and compliance with laws that apply to the customer's own business.
The customer must not use the software for malware, phishing, credential theft, unlawful surveillance, counterfeit sales, illegal content, spam, harassment, intellectual-property infringement, sanctions evasion, or any activity that could expose the Company to legal or reputational harm.
Where the customer self-hosts the software and the Company has no access to the customer's production data, the Company is not the customer's processor for that production data. If the customer asks the Company to access production systems, migrate data, inspect databases, process tickets containing personal data, or perform implementation involving personal data, a Data Processing Agreement must be signed before access.
The refund policy applies as published for the relevant product. The customer should read the refund policy before download or licence activation.
Nothing excludes liability that cannot legally be excluded. For business customers, liability is limited by the applicable order and these terms. The Company does not promise that software will meet unstated business requirements, work with every hosting configuration, or remove the customer's own compliance obligations.
This EULA is governed by the laws of England and Wales.
